AIA Group Limited (AIA) has released a Next Day Disclosure Return detailing incremental changes to its share capital and continued activity under its share repurchase mandate.

On 6 May 2026, 309,135 new ordinary shares were allotted upon employee option exercises under the 2010 Share Option Scheme at an exercise price of HKD 74.06 per share. The issuance expanded total outstanding shares to 10,508.61 million, a dilution of just 0.0029 %.

Buyback momentum remained strong. From 30 March to 6 May 2026, the insurer repurchased 61.68 million shares that are awaiting cancellation—about 0.59 % of the share count at the period’s start. Disclosed volume-weighted average prices for these trades ranged between HKD 81.39 and HKD 89.46.

The latest repurchase, executed on 6 May 2026, involved 2.32 million shares bought on the Hong Kong Stock Exchange at prices between HKD 85.70 and HKD 87.45, costing HKD 200.85 million. These purchases fall under the mandate approved on 23 May 2025, which authorises buybacks of up to 1.07 billion shares. To date, 187.92 million shares—1.76 % of the outstanding shares at the mandate date—have been repurchased.

Following the option exercise and before cancellation of repurchased stock, AIA’s issued share capital stands at 10,508.61 million shares with no treasury shares on hand. In line with Hong Kong listing rules, AIA cannot issue additional shares until 5 June 2026, 30 days after the latest repurchase.
