China ComService Seeks 10% H-Share Repurchase Authority, 20% Issuance Mandate and Proposes RMB0.2241 Final Dividend

China Communications Services Corporation Limited (“China ComService”) has issued a circular convening its 2025 Annual General Meeting (AGM) for 28 May 2026 in Beijing, together with concurrent domestic and H-share class meetings.

Key resolutions to be tabled include:

1. Capital Management • Repurchase mandate: Board authorization to buy back up to 10% of issued H-shares (approximately 239.14 million shares based on the 2.39 billion H-shares outstanding as of 22 April 2026). • Issuance mandate: Board authorization to allot and issue up to 20% of each of the existing domestic and H-share classes, with flexibility to sell or transfer treasury shares if any are held in future. • Associated authority to adjust registered capital and amend the Articles of Association following any share buyback or new issue.

2. Cash Return • Proposed final dividend of RMB0.2241 per share (pre-tax) for the financial year ended 31 December 2025. The record date is 12 June 2026, and payment is targeted for 23 July 2026. Dividends will be paid in RMB to domestic shareholders and Southbound Trading investors, and in Hong Kong dollars to other H-shareholders.

3. Financial Statements & Auditors • Adoption of the 2025 consolidated financial statements. • Re-appointment of KPMG (international) and KPMG Huazhen LLP (domestic) as auditors for 2026, with remuneration to be set by the Board.

Logistics:

• Shareholders must register share transfers by 21 May 2026 to attend the AGM or related class meetings; the H-share register closes from 22 to 28 May 2026. • Proxy forms must be lodged at least 24 hours before each meeting (27 May 2026). • All resolutions will be decided by poll.

If fully exercised, the repurchase mandate would raise China Telecommunications Corporation’s voting stake from 48.99% to 50.75%, but would not trigger a mandatory offer under Hong Kong’s Takeovers Code.
