Z FIN (HKEX: 01168) and the offeror, ASIA PACIFIC PROMOTION LIMITED, have jointly announced a proposal for the company's privatization.
The proposal, received by the board from the offeror after market close on July 9, 2026, involves a scheme of arrangement under the Companies Ordinance to take the company private.
The plan entails the cancellation of scheme shares, with cash consideration of HK$6.60 paid to scheme shareholders per cancelled share, and the subsequent delisting of the company's shares from the Stock Exchange.
The offer price of HK$6.60 per share represents a premium of approximately 61.37% over the closing price of HK$4.09 per share on the last trading day prior to the announcement.
The maximum total cash consideration payable by the offeror under this proposal is approximately HK$1.019 billion.
Additionally, the company has applied to the Stock Exchange for a resumption of trading of its shares, effective from 9:00 a.m. on July 22, 2026.
As of the announcement date, the offeror is the company's controlling shareholder, with Mr. Ou Yaping being its sole shareholder.
