On October 31, 2025, Minieye Technology Co., Ltd. (Stock Code: 2431) announced that its wholly-owned subsidiary Tongxiang Wuzhen Minieye entered into a construction agreement with Henan Gejiu Construction. This agreement involves creating facilities capable of producing 600,000 units/sets of intelligent driving assistance products annually. The project is located on the east side of Shangtamo Port and north side of Yunhe Avenue in Wuzhen Town, Tongxiang City.
According to the announcement, the total consideration for this engagement stands at approximately RMB127.12 million, including a safety and civilized construction fee of about RMB6.17 million. The contractor will provide comprehensive construction and engineering services, encompassing earthwork, civil engineering, mechanical and electrical installations, as well as interior and exterior decoration. The site spans 27,687.33 square meters of land, with a projected construction area of around 57,784.03 square meters. The construction period is expected to be 550 calendar days.
The agreement stipulates a phased payment schedule: approximately 30% of the fee (excluding the safety and civilized construction portion) is to be settled by installments upon signing and effectiveness, with further payments linked to construction progress. The remaining balance is to be disbursed upon final acceptance and settlement review. A 3% retention will serve as quality deposits, released upon completion and final inspection.
As the relevant percentage ratios for the transaction exceed 5% but remain below 25%, the agreement is classified as a discloseable transaction within the meaning of the Listing Rules, requiring reporting and announcement but not shareholders’ approval. The anticipated outcome is an increase in production efficiency and capacity, aligning with Minieye Technology’s operational strategy and supporting plans for future business expansion.
