China Ting Group Announces AGM Agenda: Share Mandate Renewals, Director Re-elections and Auditor Continuation

China Ting Group Holdings Limited has issued a circular detailing the agenda for its Annual General Meeting (AGM) scheduled for 10:30 a.m. on 29 May 2026 at the China Ting Industrial Complex, Hangzhou.

Key proposals

1. Renewal of mandates • Share Issue Mandate: Directors seek authority to issue, allot or deal in up to 20% of the company’s issued share capital, equivalent to 419.96 million shares, based on the current total of 2.10 billion shares in issue. • Share Repurchase Mandate: Directors also request authorisation to repurchase up to 10% of issued shares, or 209.98 million shares. • Extension of Share Issue Mandate: The number of shares repurchased under the above mandate may be added to the share issue limit.

2. Board composition • Re-election of retiring directors: Executive directors Mr Ting Man Yi (Chairman) and Mr Ting Hung Yi (Chief Executive Officer), together with independent non-executive director Ms Li Yuet Mui, Xera, will stand for re-election. • Director remuneration: Determination of directors’ fees will be delegated to the Board.

3. Auditor • Re-appointment of BDO Limited as external auditor. Audit fees for the year ending 31 December 2026 are expected to remain close to the HK$1.65 million paid for 2025, subject to final negotiation.

Procedural information

• Proxy submission deadline: 10:30 a.m. on 27 May 2026. • Register of members: Closed from 26 May 2026 to 29 May 2026 inclusive; share transfers must be lodged by 4:30 p.m. on 22 May 2026 to qualify for AGM attendance and voting. • All resolutions will be decided by poll, with results released on the websites of Hong Kong Exchanges and Clearing Limited and the company.

Share capital snapshot

• Shares in issue: 2.10 billion (fully paid, no treasury shares as of 24 April 2026). • Substantial shareholder Longerview Investments Limited holds 1.49 billion shares, representing 70.96% of issued capital.

Completion and return of a proxy form will not preclude shareholders from attending and voting in person at the AGM.
