Century Energy International Holdings Limited has issued a circular convening its 2026 annual general meeting (AGM) for 28 September 2026 (11:00 a.m., Hong Kong). Key resolutions to be tabled include fresh authorisations for equity issuance and share repurchases, director re-elections and the re-appointment of the auditor.
General mandates • Issuance mandate: Directors request authority to allot and issue up to 538.89 million new shares—equivalent to 20% of the current 2.69 billion shares outstanding—during the mandate period. • Repurchase mandate: Approval is sought to buy back up to 269.45 million shares, or 10% of the existing share capital. • Extension: The proposed issuance limit may be increased by the number of shares actually repurchased under the buy-back mandate.
Director changes • Executive directors Mr Cheung Yip Sang and Mr Yeung Shing Wai, and independent non-executive director Mr Liu Yongxin, will retire by rotation and stand for re-election. • Cheung and Yeung each receive an annual remuneration of HK$0.24 million (voluntarily reduced to HK$0.06 million in FY26). Liu is entitled to an annual director’s fee of HK$0.12 million.
Auditor • Suya WWC CPA Limited is nominated for re-appointment as external auditor for another term.
Key dates • Record date for AGM attendance and voting: 28 September 2026. • Share register closure: 22–28 September 2026 (both days inclusive). • Proxy forms must reach Tricor Investor Services by 11:00 a.m., 26 September 2026.
Additional notes • All AGM resolutions will be decided by poll in line with GEM Listing Rules. • The board confirms that any share repurchases will not reduce public float below the 25% threshold. • No refreshments or gifts will be provided at the AGM.
