长城汽车股份有限公司（02333.HK）8月17日晚间发布公告称，公司将对2023年员工持股计划已回购的6,931,291股A股进行注销，注销日期为2026年8月20日。回购价格按员工持股计划初始购买价格13.52元/股执行，回购股份数量与注销股份数量一致。
公司披露，2023年员工持股计划已全部解锁，累计向符合解锁条件的持有人过户27,820,109股；未达解锁条件的6,931,291股已由员工持股计划管理委员会收回，并决定予以回购注销。
此次注销完成后，长城汽车总股本将由8,585,400,956股减少至8,578,469,665股，缩减6,931,291股，占当前总股本的0.08%。公司控股股东保定创新长城资产管理有限公司的持股比例将由59.58%增至59.63%，控股地位保持不变。
公司指出，本次股份回购注销不会影响公司股权分布的上市条件，亦不会对公司财务状况和经营业绩产生重大影响。
