WINSON HLDGS HK (06812) announced that, effective 16 March 2026, Independent Non-Executive Director Chan Chun Sing will resign from his position and relinquish membership in the Audit Committee and Nomination Committee to devote more time to other business engagements. According to the announcement, he has confirmed no disagreement with the Board and no other matters that need to be brought to shareholders’ attention.
On the same date, Ng Moon Fai will be appointed as an Independent Non-Executive Director and join both the Audit Committee and the Nomination Committee. Ng, aged 52, was formerly Managing Director and Head of Wholesale Banking (HK) at United Overseas Bank (HK Branch) until March 2025. Before that, he served in various senior roles at United Overseas Bank, DBS Bank (HK), The Bank of East Asia, and Kwong On Bank, bringing nearly 30 years of banking experience across Hong Kong, the Greater Bay Area, and ASEAN markets.
Ng holds a Bachelor of Business Administration in Finance from The Hong Kong University of Science and Technology and a Master of Corporate Finance from The Hong Kong Polytechnic University. He has signed a two-year appointment letter starting 16 March 2026, subject to re-election at the first annual general meeting following his appointment and retirement by rotation thereafter. He will receive an annual director’s fee of HK$0.24 million. He does not hold any directorships in other listed companies in the last three years, has no relationships with Directors or controlling shareholders of the Group, and does not hold any interest in the Company’s shares. The Board has confirmed his compliance with the independence requirements set out in Rule 3.13 of the Listing Rules.
