Changjiu HLDGS Signs Amendment to Connected Lease, Extends Tenancy to 2028 and Cuts Space

Changjiu Holdings Limited (Changjiu HLDGS) has executed an amendment to its existing Property Lease and Comprehensive Service Agreement with related party Jilin Changjiu Industrial Group Co., Ltd. (Changjiu Industrial). The revised terms, agreed on 15 June 2026, introduce three key changes:

• Lease term extended by two years—from 31 December 2026 to 31 December 2028—for the Group’s long-standing office premises in Changjiu Industrial Park, Shanghai.

• Early termination of the east side of the first floor of the logistics building (“Excluded Area”) effective 15 June 2026, reducing the leased space from 3,995.17 sq.m. to 3,720.17 sq.m. after that date.

• A one-month rent waiver on the Excluded Area covering 15 May 2026 to 14 June 2026.

Accounting impact under HKFRS 16: the lease modification triggers re-measurement of the right-of-use asset and lease liability. At the amendment’s effective date, the Group will recognise an incremental lease liability of approximately RMB 13.53 million, raising the total right-of-use asset cost to about RMB 17.79 million.

Regulatory classification: Because Changjiu Industrial is a 30% controlled company of Executive Director and Controlling Shareholder Mr. Bo Shijiu, the lease constitutes a connected transaction under Chapter 14A of the Hong Kong Listing Rules. All applicable percentage ratios are above 0.1% but below 5%, making the deal subject to announcement requirements only; no shareholder vote or circular is required. Mr. Bo and Executive Director Ms. Li Guiping abstained from the Board vote approving the amendment due to material interests.

Rationale: Management cited the property’s prime location, comparative rental costs, and the avoidance of relocation expenses as reasons to maintain the premises. Downsizing by relinquishing the Excluded Area aligns with the Group’s staff reduction plan and cost-control measures amid a challenging operating environment.

Operational profile: Changjiu HLDGS, through subsidiaries Shanghai Bozhong, Changjiu Jinfu and Changjiu Interconnect, provides pledged automobile monitoring, dealership operation management and new automobile circulation services across mainland China.
