Tolu Minerals Limited（股票代码：TOK.AU）宣布，已收到来自Petrindo Jaya Kreasi（Petrindo）及Petrosea的具法律约束力投资要约，两家公司计划共同向Tolu Minerals注资2375万澳元。
此项投资将以定向增发方式进行，共计发行1460万股普通股，每股定价为1.625澳元。交易完成后，Petrindo与Petrosea将成为Tolu Minerals的重要战略股东。
该笔资金将用于加速Tolu Minerals在巴布亚新几内亚的黄金勘探项目推进，增强公司现金流并优化资本结构。此次合作有望整合各方在资源开发与工程服务领域的专业优势，提升项目运营效率。
目前三方已进入最终协议磋商阶段，具体交易细节尚待后续公告披露。
