On Thursday, Canadian photonics company POET Technologies Inc entered into a supply agreement with AI optical interconnect leader Lumilens, receiving an initial purchase order for optical engines valued at $50 million. This marks a significant step toward the commercial deployment of its wafer-level photonic integration technology focused on AI optical networks.
The purchase order is for optical engines based on the jointly developed Electrical-Optical Interposer platform, representing the first phase of the supplier relationship. The agreement indicates that cumulative purchases over the next five years have the potential to exceed $500 million.
Following the announcement, shares of POET Technologies Inc surged more than 20% in pre-market trading.
Engineering samples are expected to be delivered by the end of 2026, with production ramp-up aligned with customer deployment schedules in 2027. It is important to note that the fulfillment of the purchase order and the recognition of related revenue remain contingent upon successful module development and qualification, as well as effective expansion of manufacturing capacity.
**Order Structure: Initial $50 Million, Potential Five-Year Scale of $500 Million** According to the agreement terms, Lumilens has placed an initial purchase order valued at $50 million for the manufacture of optical engines based on the Electrical-Optical Interposer platform, establishing the starting point of the supplier relationship.
The agreement also stipulates that, as Lumilens places subsequent cumulative purchase orders, the total procurement volume over five years could expand to over $500 million.
As part of the agreement, POET has granted warrants to Lumilens, allowing it to purchase up to approximately 22.92 million common shares at an exercise price of $8.25 per share over a nine-year period. Approximately 2.29 million shares are immediately exercisable, with the remaining shares vesting in tranches based on Lumilens's cumulative payments for future purchase orders.
**Technical Path: Replacing Active Alignment Manufacturing with Wafer-Level Processes** The core of the collaboration lies in the joint development of the Electrical-Optical Interposer platform. This platform integrates wafer-level optical engine production, optical chip sets, and advanced manufacturing capabilities, aiming to replace the traditional active alignment manufacturing process in optical engine production with wafer-level processing.
According to a multi-year technology roadmap, POET and Lumilens plan to deploy this platform across multiple application scenarios, ranging from 800G and 1.6T pluggable transceivers to Near-Package Optics and Co-Packaged Optics, covering the core demands of AI optical networks.
**Commercialization Timeline: Samples by Late 2026, Mass Production Aligned with 2027 Customer Deployment** Engineering samples from the joint development project are expected to be available by the end of 2026, with the production ramp-up planned to synchronize with customer deployment cycles in 2027.
POET explicitly stated in its announcement that the final fulfillment of the purchase order and the realization of related revenue depend on the successful progress of module development and qualification, as well as the corresponding expansion of manufacturing capacity. Investors should be aware of the execution risks associated with these dependencies.
