思尔芯签署16%股份转让协议，投资方中湾资本出资约2.12亿元

上海思尔芯技术股份有限公司于2025年9月6日与S2C Holding Corporation（“S2C”或“转让方”）、国微控股有限公司（“国微控股”）及中湾私募基金管理有限公司（“中湾资本”或“投资方”）签署股份转让协议。该协议显示，思尔芯目前注册资本为人民币6000万元，本次拟转让转让方合计持有的公司16%股份，投资方为此将支付转股价款人民币211,665,760元，分多笔结算。

根据协议条款，标的股份对应公司注册资本为人民币960万元。首笔支付在满足协议中所列交割条件后十个工作日内完成，金额为转让价款扣减部分代扣缴税费和1000万元尾款后的余额。尾款1000万元将于交割日满12个月后再行支付。转让完成后，思尔芯的股份结构将随之调整，投资方届时持有公司16%股权。
