永嘉集团控股有限公司（03322）宣布，已就股份购回事宜向董事会授予一般授权，将于2026年6月18日股东周年大会上审议可购回不超过该公司已发行股本10%的股份。该公司于最后可行日期（2026年4月27日）已发行股份总数为12.84亿股，按此计算，回购规模上限约为1.28亿股。
永嘉集团指出，购回有望增强每股资产净值及收益水平，董事会认为此举符合公司及股东的整体利益。根据公告，回购资金将来自公司可合法动用的财务资源，购回安排将遵循开曼群岛公司法和香港联合交易所有限公司的上市规则。
在股价方面，过去十二个月，永嘉集团股价最高攀升至每股0.25港元（2025年5月），最低曾见0.163港元（2025年10月）。公司董事会表示，若股东大会通过相关购回授权，有助优化资本结构、提升股东回报。
另据公告，计划中的股东周年大会将于2026年6月18日上午10时30分举行，届时将就回购授权决议进行表决。公司股票过户登记将于2026年6月12日至6月18日暂停。在此期间，股东如有任何股份过户安排，可于6月11日16时30分前办理完毕。董事会同时提醒股东，大会将采取按股数投票方式进行表决。该公司呼吁股东按时行使参与表决及行使权利。
