Expressway Construction and Huamiao Planning are deemed connected persons of Tianjin Capital Environmental Protection Group through their relationship with Tianjin Infrastructure Construction. The transaction terms cover design and installation work, with service fees of RMB8,768,509 for the first tender section second batch and RMB908,350 for the second tender section second batch. Payment schedules are linked to project milestones, and settlement amounts reflect actual completed work.
Annual caps for all related agreements are set at RMB8.72 million for 2025, RMB14.57 million for 2026, and RMB12.87 million for 2027, factoring in the expected project progress and payment arrangements. According to the company, the arrangements align with commercial principles and are considered beneficial for providing reclaimed water infrastructure in Tianjin. Certain directors connected with Tianjin Infrastructure Construction abstained from voting on these agreements. The transactions are subject only to reporting and announcement requirements under Chapter 14A of the Listing Rules, exempt from independent shareholder approval.
