Chow Tai Fook to Seek Shareholder Approval for HK$0.45 Final Dividend and 10% Share Mandates at 22 July AGM

Chow Tai Fook Jewellery Group Limited has issued a proxy form outlining the key resolutions to be tabled at its annual general meeting (AGM) scheduled for 22 July 2026 at the Hong Kong Convention and Exhibition Centre.

Key agenda items include:

• Financial Statements and Dividend: Shareholders will vote on the adoption of the audited results for the financial year ended 31 March 2026 and on a proposed final dividend of HK$0.45 per ordinary share.

• Board Composition: The meeting will consider the re-election of two executive directors—Dr. Cheng Kar-Shun, Henry and Ms. Cheng Chi-Man, Sonia—and four independent non-executive directors—Mr. Kwong Che-Keung, Gordon; Dr. Or Ching-Fai, Raymond; Ms. Fung Wing-Yee, Sabrina; and Ms. Wong Ching-Ying, Belinda. The board is also seeking authority to determine director remuneration.

• Auditor Re-appointment: PricewaterhouseCoopers is nominated for re-appointment as external auditor, with the board authorised to fix its remuneration.

• Share Issuance and Buy-back Mandates: Resolutions will grant the directors general mandates to issue new shares and to repurchase existing shares, each capped at 10 % of the company’s issued share capital as of the AGM date.

Registered shareholders unable to attend may appoint proxies, with completed forms to be lodged at Tricor Investor Services by no later than 48 hours before the meeting.
