CROSSTEC Group Issues 70 Million Shares Following Conversion of HIL Convertible Bonds

CROSSTEC Group (03893) announced that the company has received a conversion notice from HIL regarding the conversion of a portion of HIL convertible bonds, with a principal amount of HK$7.7 million, at a conversion price of HK$0.11 per share. The conversion and issuance of a total of 70 million shares were completed on February 6, 2026. Following the issuance of these conversion shares and as of the date of this announcement, the total number of issued shares of the company has increased to 367 million. The conversion shares represent approximately 23.60% of the company's issued share capital immediately prior to the allotment and issuance, and approximately 19.09% of the enlarged issued share capital after the allotment and issuance. MKI remains the largest shareholder of the company, holding 84.7 million shares, representing approximately 23.10% of the enlarged issued share capital as of the date of this announcement.
