绿心集团(股票代码：00094)在最新公告中宣布，董事会建议于2026年6月9日召开的股东周年大会上，寻求授权在“有關期間”内回购最多相当于公司已发行股本10%的股份。以2026年4月22日为最后可行日期的已发行股份数量2,782,486,584股计，回购总规模可达278,248,658股。
公告显示，此次回购将根据香港联合交易所有限公司证券上市规则及百慕达相关法律开展，所需资金将从公司合法可动用的资金中支付。公司方面表示，进行股份购回旨在促进资本结构优化，同时提升股东回报。根据公告，绿心集团股票过去十二个月最高及最低成交价分别为每股0.11港元和0.032港元。
除了股份购回授权外，公司也将向股东提请一般性授权，拟配发及发行不超过已发行股本20%的新股。董事会认为，上述股份回购及配股计划将符合公司及股东的整体最佳利益。公司股东如需出席并表决相关议案，须留意2026年6月4日至6月9日的股份过户登记暂停事宜，上述会议将于2026年6月9日上午在香港湾仔举行。
