共生智筑(00627)于4月28日发布公告，董事会拟向股东大会申请一般及无条件授权，可在香港联合交易所于指定期限内回购不超过公司已发行股本总数10%的股份。该公司当前已发行股份总数为1,420,673,262股，如获股东批准，回购规模可达142,067,326股。
据公告，回购所需资金将根据适用法律法规及香港上市规则的要求，从本公司于百慕达注册成立并依法可用的资金中支出。公司董事会认为，此举有利于提升股东回报并优化资本结构，符合公司及股东整体最佳利益。
公司于过去12个月间曾在港股市场录得最高每股1.40港元（2025年7月）及最低每股0.42港元（2026年1月）的交易区间。公司董事会表示，目前并无意在回购中导致公众持股量低于相关要求。
按照公告安排，定于2026年6月9日（星期二）中午十二时正召开股东周年大会，股权登记册将于2026年6月3日至6月9日（包括首尾两日）暂停办理过户登记。董事会建议股东及潜在投资者留意本次购回授权相关进展并注意相关日期。
