YS Digifavor sets 11 May 2026 AGM to vote on director re-elections, 20% share issuance mandate and constitutional amendments

YS Digifavor (03773) will hold its 2026 Annual General Meeting on 11 May 2026 at 2:30 p.m. in Shenzhen, Mainland China.

Key agenda items:

1. Financial statements • Shareholders will be asked to receive and adopt the audited consolidated financial statements for the year ended 31 December 2025 together with the directors’ and auditor’s reports.

2. Board composition and remuneration • Re-election of five directors: executive directors Huang Junmou and Guo Wei; non-executive directors Chong Wing Kin and Yu Zida; independent non-executive director Li Yao. • Authorisation for the board to determine directors’ remuneration.

3. Auditor • Proposal to re-appoint Moore CPA Limited as external auditor until the next AGM and authorise the board to fix its remuneration.

4. General mandates • Issuance mandate: authority for the board to allot, issue or deal with additional shares and/or transferable treasury shares up to 20% of the company’s issued share capital (excluding treasury shares) at the date of the AGM. • Repurchase mandate: authority to repurchase shares up to 10% of issued share capital (excluding treasury shares). • Extension mandate: subject to the above approvals, the issuance mandate may be increased by the amount of shares repurchased, capped at an additional 10% of issued share capital.

5. Special resolution • Adoption of the fourth amended and restated memorandum and articles of association, superseding the existing version, as detailed in the circular dated 17 April 2026.

Key administrative dates: • Register closure for AGM voting rights: 6 May 2026 – 11 May 2026 (both days inclusive). • Last day to lodge share transfers: 5 May 2026, by 4:30 p.m., with Computershare Hong Kong Investor Services Limited.

Proxy arrangements: shareholders may appoint proxies, with forms due 48 hours before the meeting (by 9 May 2026, 2:30 p.m.).
