TIME WATCH Seeks Shareholder Nod to Update Articles for Uncertificated Securities Regime

Time Watch Investments Limited (TIME WATCH) has proposed a comprehensive revision of its existing Articles of Association to align with Hong Kong’s forthcoming Uncertificated Securities Market regime and recent changes to the Listing Rules.

The Board intends to adopt a second amended and restated Articles of Association, incorporating regulatory updates and other housekeeping refinements. These amendments require approval by special resolution at the company’s upcoming annual general meeting (AGM). If endorsed, the new Articles will take effect immediately after the AGM concludes.

A detailed circular outlining the proposed amendments, together with the AGM notice, will be made available on the Hong Kong Stock Exchange’s website (www.hkexnews.hk) and the company’s website (www.timewatch.com.hk) prior to the meeting.

Chairman and Executive Director Tung Koon Ming signed the announcement dated 29 September 2026. As of that date, the Board comprises four executive directors—Tung Koon Ming, Tung Koon Kwok Dennis, Tung Wai Kit and Deng Guanglei—and three independent non-executive directors—Wong Wing Keung Meyrick, Choi Ho Yan and Law Stacey Man Yee.
