Wise Living Technology to Update Articles and Corporate Governance Rules for Hybrid Meetings and E-Voting Compliance

Hong Kong, 8 April 2026—Wise Living Technology Co., Ltd. (Wise Living Technology) has announced plans to overhaul key corporate governance documents to meet the Hong Kong Stock Exchange’s revised Listing Rules that take effect on 1 July 2025.

The Board has proposed special-resolution amendments to the company’s Articles of Association to explicitly permit hybrid general meetings and electronic voting, aligning the constitution with the updated Appendix A1 requirements.

Concurrently, the company will revise the Rules of Procedure for the Shareholders’ Meeting and the Rules of Procedure for the Board of Directors. These changes reflect (1) the forthcoming hybrid meeting and E-voting framework and (2) structural adjustments already announced, including the abolition of the supervisory committee and the adoption of the new company name.

All amendments will become effective only after shareholder approval at the forthcoming annual general meeting (AGM); until then, existing documents remain in force. A circular outlining the full text of the proposed revisions, together with the AGM notice and proxy form, will be distributed to shareholders in due course.

The current Board consists of Executive Directors Li Baoshan (Chairman), Liu Zhigang and Luo Wei; Non-executive Directors Miao Wenbin, Ma Fulin and Xu Lijie; and Independent Non-executive Directors Cheung Ho Kong, Dr. Tse Hiu Tung, Sheldon, and Dr. Zhu Qing.
