Beisen Holding issues 30,000 new shares under option plan and repurchases 200,000 shares on-market

Beisen Holding Limited disclosed two capital-structure moves dated 23 July 2026: an exercise of employee options and an on-market share repurchase.

Option exercise • 30,000 ordinary shares were issued under the Pre-IPO Share Option Plan adopted on 15 July 2019. • Issue price: HKD 0.12826 per share. • Dilution impact: 0.00413 % of the company’s 726.77 million issued shares (excluding treasury shares) outstanding before the transaction.

Share repurchase • 200,000 ordinary shares were bought back on the Stock Exchange of Hong Kong at prices between HKD 3.23 and HKD 3.29, for a total consideration of HKD 0.65 million. • The buyback represents 0.0275 % of the issued share base before the transaction. • All repurchased shares are being held as treasury shares, lifting the treasury share balance to 10.39 million.

Post-transaction share count • Issued shares (excluding treasury shares): 726.60 million. • Total issued shares (including treasury shares): 736.99 million.

Repurchase mandate utilisation • Shareholders authorised repurchases of up to 70.12 million shares on 18 September 2025. • Cumulative repurchases to date: 15.16 million shares, equal to 2.16 % of the issued share capital on the mandate date. • Pursuant to Listing Rule 10.06, Beisen is subject to a moratorium on new share issues or treasury-share sales until 22 August 2026.
