Chow Tai Fook Jewellery sets 22 July AGM; proposes HK$0.45 final dividend, 10% share issue and buy-back mandates

Chow Tai Fook Jewellery Group Limited will convene its annual general meeting on 22 July 2026 at the Hong Kong Convention and Exhibition Centre. Key resolutions include adoption of FY-2026 results, a final dividend, director re-elections, auditor renewal and refreshed capital mandates.

Dividend proposal • Board recommends a final dividend of HK$0.45 per share, payable on or about 20 August 2026 to shareholders on record as at 7 August 2026. • Together with the interim payout, total dividend for FY-2026 will be HK$0.67 per share. • FY-2026 basic earnings per share stood at HK$0.91.

Director re-elections • Executive directors Dr Cheng Kar-Shun Henry (Chairman) and Ms Cheng Chi-Man Sonia (Vice-Chairman) will seek re-election. • Independent non-executive directors Mr Kwong Che-Keung Gordon, Dr Or Ching-Fai Raymond, Ms Fung Wing-Yee Sabrina and Ms Wong Ching-Ying Belinda are also nominated; the nomination committee affirmed their continued independence, including Messrs Kwong and Or who have each served more than nine years.

Capital mandates • Issue mandate: directors may allot and issue new shares and/or re-sell treasury shares up to 10 % of issued share capital (excluding treasury shares), with any cash placing capped at a 15 % discount to the benchmark price. The board will not seek the customary extension to increase this limit by repurchased shares. • Buy-back mandate: authority to repurchase up to 10 % of issued shares, equal to a maximum 986.49 million shares based on the current 9.86 billion shares outstanding (excluding 0.42 million treasury shares). The company undertakes not to reduce public float below the 10.7 % level accepted by the Hong Kong Stock Exchange.

Auditor and fees • Re-appointment of PricewaterhouseCoopers as external auditor for FY-2027 will be put to vote; FY-2026 audit and related fees totalled approximately HK$7.30 million. The estimated audit fee for FY-2027 is HK$6.40 million–HK$7.50 million.

Shareholder logistics • Register of members closes 17–22 July 2026 for AGM eligibility and 7 August 2026 for dividend entitlement. • Proxy forms must reach Tricor Investor Services by 20 July 2026, 12:00 p.m. • All AGM resolutions will be decided by poll.

No share repurchases were conducted in the six months preceding 11 June 2026. Major shareholder Chow Tai Fook Capital holds 73.38 % of issued shares; full utilisation of the buy-back mandate would raise this to 81.54 % but remain above the minimum public float requirement and below the 30 % threshold that triggers a mandatory general offer under the Takeovers Code.
