Guotai Junan International: UBS AG Lifts Holding to 7.86% After Net Purchase of 2.32 Million Shares

Guotai Junan International Holdings Ltd. (Guotai Junan International) today disclosed that UBS AG, classified as a Class (6) associate under the Hong Kong Code on Takeovers and Mergers, executed a series of on-market trades in the company’s shares on 14 August 2026 amid the ongoing privatisation process via scheme of arrangement.

UBS AG bought 25,000 shares at HK$2.8606 each and a further 2,561,000 shares at HK$2.8621, for a combined outlay of approximately HK$7.40 million. The bank subsequently sold 215,000 shares at HK$2.8600 and 47,000 shares at HK$2.8617, realising about HK$0.75 million. Net purchases therefore totalled 2,324,000 shares, equivalent to roughly HK$6.65 million in net consideration.

Following the transactions, UBS AG’s aggregate holding in Guotai Junan International increased from 746.50 million to 748.80 million shares, nudging its shareholding ratio from 7.83% to 7.86% of the company’s issued share capital. All trades were conducted for UBS AG’s own account.

UBS AG is ultimately owned by UBS Group AG. As a shareholder exceeding 5% of Guotai Junan International, its dealings are subject to mandatory disclosure under Rule 22 of the Hong Kong Takeovers Code during the privatisation exercise.
