Guoquan Food buys back 3.43 million H-shares for HKD 9.96 million, lifting treasury stock to 136.66 million

Guoquan Food (Shanghai) Co., Ltd. disclosed a share repurchase on 15 May 2026 involving 3.43 million H-shares on the Hong Kong Stock Exchange.

• Transaction details – Volume: 3.43 million shares, equal to 0.13 % of the company’s issued share base before the transaction. – Price range: HKD 2.87–2.92 per share, with a volume-weighted average of HKD 2.9008. – Aggregate consideration: HKD 9.96 million. – All repurchased shares will be held as treasury shares; none were cancelled as of the reporting date.

• Capital structure after repurchase (as of 15 May 2026) – Issued shares excluding treasury shares: 2.61 billion. – Treasury shares: 136.66 million. – Total issued shares (including treasury shares): 2.75 billion.

• Repurchase mandate utilisation – Authorised repurchase limit (approved 29 Apr 2026): 262.44 million shares. – Cumulative repurchases under the mandate: 13.74 million shares, representing 0.52 % of the company’s issued shares on the mandate date. – Moratorium: Guoquan Food is restricted from issuing new shares or transferring treasury shares until 14 Jun 2026, pursuant to HKEX rules.

The company confirmed that the repurchase complied with Main Board Rule 10.06 and that no material changes have occurred to the explanatory statement filed with the exchange.
