WellCell Holdings Co., Limited will convene its annual general meeting at 11:00 a.m. on 27 May 2026 in Zhuhai, Guangdong. Shareholders will vote on the adoption of the audited results for the year ended 31 December 2025 and several governance-related resolutions.

Key ordinary resolutions include:

• Financial Statements: Receipt and adoption of the 2025 consolidated financial statements together with the directors’ and independent auditor’s reports.

• Board Composition: Re-election of executive directors Jia Zhengyi and Zhang Xiaolong, non-executive director Lin Qihao, and independent non-executive director Chan Wai Dune; the board will be authorised to determine directors’ remuneration.

• Auditor: Re-appointment of Ascenda Cachet CPA Limited with authority for the board to fix its fees.

Shareholders will also decide on three special business mandates:

1. Issuance Mandate – authority for the board to allot, issue or deal in shares up to 20% of the company’s issued share capital (excluding treasury shares), inclusive of options, warrants or convertible instruments. 2. Repurchase Mandate – authority to repurchase up to 10% of issued shares (excluding treasury shares) on the Hong Kong Stock Exchange or other recognised exchanges. 3. Extension Mandate – an extension of the issuance mandate by the number of shares repurchased under the repurchase mandate, capped at an additional 10%.

The register of members will be closed from 21 May 2026 to 27 May 2026 (both days inclusive). Only shareholders on record as of 27 May 2026 are entitled to attend and vote. Proxy forms must be lodged no later than 48 hours before the meeting.

As of the notice date, the board comprises three executive directors (Qian Fenglei, Jia Zhengyi and Zhang Xiaolong), one non-executive director (Lin Qihao) and three independent non-executive directors (Wong Che Man Eddy, Dan Xi and Chan Wai Dune).
