恩典生命科技控股有限公司（联交所主板上市：02112）于公告中提出股份购回计划，拟向股东寻求授权，最高可回购占当前已发行股本（不含库存股）10%的本公司股份。根据公司资料，目前其已发行总股本为15亿股，每股面值0.01港元，董事会获授权后可在有效期内回购最多面值合计150万港元（即约1.5亿股）的股份。
公告显示，公司拟于2026年6月16日下午2时30分召开股东周年大会，就包括上述购回授权在内的多项议案进行表决。该授权一旦获得股东批准，将自通过之日起至下次股东周年大会结束或获股东撤销之日（以较早者为准）持续有效。公司董事会指出，购回资金将来自于公司可合法用于该用途的资金来源，并将根据凯曼群岛及相关上市规则进行。
公司方面表示，考虑开展购回的主要目的是提升股东回报并优化公司资本结构。过去12个月，公司股价最高曾见于2025年5月，达到每股0.177港元；最低价出现在2025年7月，为0.044港元。董事会认为，此次购回计划符合公司及股东整体长远利益，不会对公司的营运资金或资本负债比率构成重大不利影响。
公司进一步提示，拟出席股东周年大会并行使投票权的股东，需于2026年6月10日下午四时三十分前办理股份过户登记手续，公司将于2026年6月11日至6月16日期间暂停办理股份过户登记。董事会建议股东关注相关议案并积极行使表决权。
