Tencent Issues 41,136 New Shares via Option Exercise; Repurchases 2.55 Million Shares Awaiting Cancellation

On 22 September 2026, Tencent Holdings Limited filed a Next Day Disclosure Return with the Hong Kong Stock Exchange detailing modest equity issuance and continued share buy-backs.

New share issue • Tencent allotted 41,136 ordinary shares upon exercise of options granted under the 2023 Share Option Scheme adopted on 17 May 2023. • The volume-weighted average issue price was HKD 301.31 per share. • The new shares equal 0.00045 % of the 9.10 billion shares outstanding before the transaction, lifting Tencent’s issued share capital to 9.10 billion shares. • No treasury shares were held before or after the issue.

Ongoing share repurchases • Between 8 and 22 September 2026 the company bought back 2.55 million shares for cancellation, equivalent to roughly 0.03 % of current outstanding shares. • Daily repurchase volumes ranged from 223,000 to 237,000 shares; volume-weighted average prices per day were between HKD 423.85 and HKD 449.64. • The latest buy-back, executed on 22 September, involved 223,000 shares at prices from HKD 442.80 to HKD 450.80, costing HKD 100.27 million. • All repurchased shares remain uncancelled as of 22 September.

Repurchase mandate utilisation • The share-repurchase mandate, approved on 13 May 2026, authorises Tencent to repurchase up to 911.80 million shares. • Cumulative purchases under this mandate now stand at 46.71 million shares, or 0.51 % of the company’s issued shares at the mandate date. • In line with Hong Kong listing rules, Tencent is subject to a moratorium on new share issues until 22 October 2026.

Capital position • Post-issuance, Tencent’s outstanding share count is 9.10 billion, while treasury shares remain nil. • The disclosed activities were duly authorised by the board and executed in compliance with Hong Kong Stock Exchange regulations.
