Namyue Holdings Schedules 2026 AGM; Proposes Director Re-election, Auditor Renewal and 20% Share Issue Mandate

Namyue Holdings Limited will convene its annual general meeting (AGM) on 18 June 2026 at 2:30 p.m. in The Boardroom, Basement 2, Wharney Hotel, Wanchai, Hong Kong.

Key resolutions to be put to shareholders include:

1. Financial statements: Acceptance of the audited consolidated financial statements, the Directors’ report and the independent auditor’s report for the year ended 31 December 2025.

2. Board composition: Separate re-election of four retiring directors—Mr. Cai Binglong, Ms. Li Qi, Mr. Yeung Man Lee and Mr. Leung Luen Cheong—with authority granted to the Board to set their remuneration.

3. Auditor: Re-appointment of ZHONGHUI ANDA CPA Limited as independent auditor and authorisation for the Board to fix its remuneration.

4. General mandate: Authorisation for the Board to allot, issue or deal with additional shares and securities convertible into shares up to 20% of the company’s issued share capital during the mandate period. The Directors currently have no immediate plans to exercise the mandate.

Administrative details: • Share register closure: 12 June 2026–18 June 2026 (both dates inclusive). Transfer documents must be lodged with Tricor Investor Services by 4:30 p.m. on 11 June 2026 for shareholder eligibility. • Voting: All resolutions will be decided by poll in accordance with Listing Rule 13.39(4). • Proxy deadline: Completed proxy forms must reach Tricor Investor Services at least 48 hours before the meeting.

Weather contingency: If Typhoon Signal No. 8 or above, a Black Rainstorm Warning or “extreme conditions” is in force at or after 12:30 p.m. on the meeting day, the AGM will be adjourned; details will be announced on the company and HKEX websites. No refreshments will be provided at the meeting.
