春城热力（01853）7月30日公告称，公司已与控股股东长春市热力（集团）有限责任公司（下称“长热集团”）签署《煤炭购买协议》，协议约定公司将采购合计17,116.52吨煤炭，总价人民币7,457,110.36元，折合约745.71万元。

本次交易价格系公司与长热集团在参考中国煤炭工业协会公布的“环渤海动力煤价格指数”后，经公平磋商确定。公司计划以自有资金支付该笔采购款项。

根据协议条款，长热集团应在协议签署后5日内向公司开具发票，公司在收到发票后一次性结清全部货款；长热集团须在公司支付货款后15日内完成煤炭交付。

春城热力指出，煤炭为公司燃煤锅炉供暖的主要原料，长热集团地理位置邻近公司，运输成本及损耗风险相对较低，且煤炭品质符合公司要求。

在上市规则认定上，长热集团持有春城热力约69.75%股权，为公司控股股东，本次交易构成关联交易。由于相关适用百分比率超过0.1%但低于5%，交易已按香港联交所《上市规则》第14A章完成披露及公告，豁免刊发通函、委聘独立财务顾问及召开股东大会的要求。

春城热力主要在吉林省提供供热服务，并开展工程建设、维护及设计等业务；长热集团则从事物业管理、供水、管道制造、热力生产与供应、工业蒸汽销售及金融投资等。
