民生教育（01569）在最新公告中宣布，已于股东周年大会上建议赋予董事一般授权，以回购公司已发行股份总数最多10%。截至最后实际可行日期，公司已发行股份数约为4,217,720,000股，换言之，此项授权最高可购回股份约421,772,000股。
公告指出，回购所需资金将通过公司可合法动用的内部资源支付，并遵循开曼群岛适用法例及香港联交所上市规则。董事会认为，在适当时机行使此项购回授权，有助提升股东回报并优化资本结构，符合公司及股东的整体最佳利益。
民生教育的董事会提及，只有在有利于公司和股东的情况下才会进行股份购回。根据公告，公司股份于过去一年在联交所的最高成交价约为每股0.229港元，最低约为0.123港元。股东周年大会订于2026年6月9日召开，并于会前若干日间暂停办理股份过户登记。董事会提醒股东留意授权表决日期及相关手续。
