Smoore International Lifts Share Capital by 0.27 Million in September on Option Exercises

For September 2026, Smoore International Holdings Limited reported a marginal expansion of its issued share base driven solely by employee option exercises.

Key figures • Authorised share capital remained unchanged at 10.00 billion ordinary shares with a par value of USD 0.01, equivalent to USD 100.00 million.

• Issued shares (excluding treasury shares) rose by 267,323 to 6.20 billion, a 0.004 % month-on-month increase. There are no treasury shares on the balance sheet.

• All new shares resulted from the exercise of options under the Share Option Scheme adopted on 15 June 2020 and amended on 18 February 2025.

Option scheme dynamics • Outstanding options declined to 237.60 million after 1.00 million options lapsed and 0.27 million were exercised. • Cash proceeds from the option exercises totaled HKD 2.08 million. • The scheme still allows for up to 77.82 million shares to be issued and a cumulative ceiling of 546.62 million shares for future grants.

Capital structure and compliance • Post-issuance, total issued share capital stands at 6.20 billion ordinary shares. • The company confirmed compliance with the Main Board’s minimum public-float requirement of 25 %. • No activity occurred in warrants, convertibles, other equity-linked agreements or treasury share movements.

The incremental share issuance had an immaterial dilutive impact, while reinforcing liquidity and employee alignment without altering Smoore International’s authorised capital ceiling.
