同仁堂国药(03613)于香港发布公告，拟在股东周年大会上向董事会授出一般性购回授权，最多可购回公司已发行股份（不包括库存股份）总数的10%。截至最后可行日期，公司已发行股份共约8.371亿股，若本次授权获通过，最高可购回约8371万股。
公告指出，该公司将根据香港适用法律及上市规则，以合法资金来源执行购回计划。董事会认为，适度行使购回权限有助于增强每股资产净值及每股盈利水平，符合公司及股东整体最佳利益。同时，购回将不会导致公众持股比例低于25%。
根据公告，过去12个月公司股价最高达每股9.64港元，最低为7.54港元。董事会表示，购回股份的具体时间、价格等安排将视市况而定，确保资金运用合理且不会对公司营运及财务状况造成重大不利影响。
股东周年大会订于2026年6月10日上午在香港新界大埔工业邨大景街3号举行。公司将于2026年6月5日至6月10日暂停办理股份过户手续，以确定有权出席并投票的股东资格。交易各条款仍须通过股东大会审议批准。
