国际娱乐(01009)发布公告，拟与认购方订立协议，向后者发行总额最高达16亿港元的可换股票据。初始换股价格为每股1港元，公司最多将配发及发行约16亿股转换股份。若相关换股触发对公司股权超过30%的持股比例，认购人将须提出强制性全面收购要约，但公司已向监管机构申请清洗豁免。
公告显示，公司拟动用部分募集资金偿还已发行的承兑票据，构成特别交易并须独立股东批准。另有部分资金将用于提前偿还有抵押银行借贷及满足集团娱乐及酒店业务的投资需求。董事会认为，发行可换股票据可改善整体财务结构并为后续项目提供资金。
公司将于2026年2月26日召开股东特别大会，审议并表决包括特别授权、特别交易及清洗豁免等相关事宜。所有股东于股东特别大会上的投票将以投票表决方式进行，会议结果将在联交所网站及公司网站同步公布。
