China Galaxy Securities Co., Ltd. (CGS) has finalized the public placement of its 2026 corporate bonds (third tranche), raising a total of RMB6.00 billion on 11 May 2026. Key terms • Total issue: RMB6.00 billion, priced at RMB100 per unit. • Tranche structure:   – Two-year bonds: RMB3.00 billion, coupon 1.64%.   – Three-year bonds: RMB3.00 billion, coupon 1.73%. • Use of proceeds: repayment of maturing corporate bond principal. Regulatory & mandate background • The China Securities Regulatory Commission previously approved CGS to issue up to RMB30 billion in public corporate bonds to professional investors. • Shareholders at the February 2025 EGM authorised the board to issue debt financing instruments totaling no more than 350% of the latest audited net assets. Investor participation Underwriters and affiliated entities subscribed to portions of the deal: • CITIC Trust: RMB170 million (two-year) and RMB100 million (three-year). • China CITIC Bank: RMB90 million (three-year). • CITIC-Prudential Fund: RMB30 million (two-year). • China Resources SZITIC Trust: RMB450 million (two-year) and RMB140 million (three-year). • China Southern Asset Management: RMB10 million (two-year) and RMB150 million (three-year). No directors, senior managers, or shareholders holding more than 5% of CGS shares participated in the subscription. Governance note The issuance aligns with the board mandate approved by shareholders, and all regulatory conditions have been satisfied. The bonds provide CGS with fresh liquidity to address upcoming maturities while maintaining its capital structure within approved limits.
