China Tian Yuan Healthcare Releases Supplemental Circular, Backs Re-election of Long-Serving INED Yuen Kwok Kuen

China Tian Yuan Healthcare Group Limited (abbrev. “China Tian Yuan Healthcare”) issued a supplemental announcement on 29 May 2026 to its 27 May 2026 AGM circular, focusing on the proposed re-election of Independent Non-executive Director (INED) Yuen Kwok Kuen.

The Hong Kong Listing Rules’ Corporate Governance Code (provision B.2.3) requires any INED who has served more than nine years to be re-appointed through a separate shareholder resolution. Mr Yuen, in post since 2016, now falls under this requirement.

Key points highlighted by the Board: • Independence affirmed: Mr Yuen has provided annual confirmations under Rule 3.13 and, as at the latest practicable date, no circumstances compromising his independence were identified. • Continued contribution: The Board cited Mr Yuen’s professional expertise, independent judgment and non-executive role as evidence of his ongoing value. • Board endorsement: After reviewing his performance and qualifications, directors concluded Mr Yuen remains objective and independent and will continue to add strategic insight if re-elected.

The AGM will therefore include a distinct resolution for Mr Yuen’s re-election. All other information in the original circular and AGM notice remains unchanged.

Current Board composition: one Executive Director (Dong Wei), one Non-executive Director (He Mei) and three INEDs (Yuen Kwok Kuen, Li Jun, Zhou Siqi).
