Prosperous Industrial (Holdings) Limited (1731) Reports ICAC Investigation and Independent Director Resignation

Prosperous Industrial (Holdings) Limited (1731) announced that an Independent Non-Executive Director is currently under investigation by the Independent Commission Against Corruption of Hong Kong. According to the announcement, the Director has not been charged and the investigation does not relate to the affairs of the Group. The Board stated that it does not anticipate any material adverse impact on the business and operations as a result of this matter.

The Director subsequently resigned, effective 18 November 2025, citing personal reasons. The departing Director confirmed no disagreement with the Board and that there are no other matters for shareholders’ attention. Following this resignation, the Board no longer meets certain Listing Rules requirements regarding independent non-executive directors, the audit committee, and the nomination committee.

The company is working to identify a suitable candidate to fill the relevant vacancies within three months in accordance with the Listing Rules. Further updates will be released as appropriate.
