Zhongzhi Pharmaceutical Holdings Limited (Zhongzhi Pharma) has issued a notice convening its Annual General Meeting for 13 May 2026 at 2:30 p.m. in Wanchai, Hong Kong.
Key matters to be tabled include:
1. Financial Statements • Shareholders will vote on receiving and approving the audited consolidated financial statements and the directors’ and auditor’s reports for the year ended 31 December 2025.
2. Board Composition • Re-election of Executive Directors Mr Lai Ying Sheng and Mr Cao Xiao Jun, alongside Independent Non-executive Director Mr Zhou Dai Han. • Authorisation for the board to set directors’ remuneration for the year ending 31 December 2026.

5. Constitutional Update • Special resolution to adopt an amended and restated Memorandum and Articles of Association immediately after the AGM’s close.
Administrative Details • Shareholders recorded as of 13 May 2026 are entitled to attend and vote. The register will be closed from 7–13 May 2026 for this purpose. • Proxy forms must be lodged with Union Registrars Limited by 2:30 p.m. on 11 May 2026. • Contingency arrangements are in place for severe weather; any postponement will be announced on the company’s and HKEX websites.
Board Snapshot As of the notice date (21 April 2026), the board comprises Executive Directors Mr Lai Zhi Tian (Chairman), Mr Lai Ying Feng, Mr Lai Ying Sheng and Mr Cao Xiao Jun; Non-executive Director Ms Jiang Li Xia; and Independent Non-executive Directors Mr Ng Kwun Wan, Mr Zhu Shang Heng and Mr Zhou Dai Han.
