Sundy Service to Seek 20% Issuance Mandate and 10% Buyback Authority at 5 June 2026 AGM

Sundy Service Group Co. Ltd has dispatched a circular convening an annual general meeting (AGM) for 3:00 p.m. on 5 June 2026 in Hangzhou.

The Board will request three core approvals:

1. Share Issuance Mandate • Directors may allot, issue or transfer treasury shares up to 20% of the issued share capital, equal to a maximum of 768.00 million shares based on the 3.84 billion shares outstanding on 23 April 2026.

2. Share Repurchase Mandate • Authority to repurchase up to 10% of issued shares, or 384.00 million shares. • Any repurchased shares may be added to the issuance mandate through an Extension Mandate.

3. Board Composition • Executive Director Zhang Zhenjiang and Independent Non-executive Directors Zhu Haoxian and Ye Qian stand for re-election. • The Nomination Committee confirmed their continued independence and contribution.

The circular notes that the company has no immediate plans for share issues or buybacks beyond potential option exercises.

Administrative details include a register-of-members closure from 1 June to 5 June 2026; transfers must be lodged by 4:30 p.m. on 29 May 2026 to qualify for voting rights. Shareholders unable to attend may submit proxies no later than 48 hours before the meeting.
