Mobvista lifts issued share capital by about 6.9% after convertible-bond conversion and RSU share issue

Mobvista Inc. has expanded its issued share base by a combined 110.43 million ordinary shares in June 2026, taking the total outstanding shares to 1.68 billion as at 26 June 2026, up approximately 6.9% from the 1.57 billion recorded at the start of the month.

Convertible bond conversion • On 2 June 2026, US$30.00 million in principal and US$3.92 million in accrued interest from outstanding convertible bonds were converted into 47.46 million new shares. • The conversion price was HK$5.54 per share, implying an equity issuance value of roughly HK$263.0 million. • The new shares represented 3.01% of Mobvista’s pre-event issued share capital.

Restricted Share Unit (RSU) scheme issuance • On 26 June 2026, 62.97 million new shares were allotted to the trustee of the company’s Restricted Share Unit Scheme (amended on 12 June 2026). • These shares, issued at no consideration, equated to 3.88% of the pre-event share count.

Post-transaction share structure • Issued shares (excluding treasury shares) at 1 June 2026: 1,574.15 million • New shares issued in June 2026: 110.43 million – Convertible bond conversion: 47.46 million – RSU scheme: 62.97 million • Issued shares as at 26 June 2026: 1,684.58 million

No treasury shares were outstanding, and the company reported no share repurchases or on-market sales of treasury shares during the period. All corporate actions were confirmed by the board to be in full compliance with Hong Kong Stock Exchange listing rules and relevant regulations.
