Kwung's Aroma Holdings Limited (KWUNGS AROMA, HKEX: 1925) has issued a notice convening its 2026 Annual General Meeting (AGM) for 11:00 a.m. on Friday, 26 June 2026 at 827 Qixiang Road, Ningbo City, Zhejiang Province, PRC.
Key agenda items:
1. FY2025 results • Shareholders will receive and consider the audited consolidated financial statements of the Company and its subsidiaries for the year ended 31 December 2025, together with the directors’ and independent auditors’ reports.
2. Board composition and remuneration • Re-election of Mr Jin Jianxin as Executive Director. • Re-election of Mr Lai Chun Yu and Mr Xu Mingdong as Independent Non-executive Directors. • Authorisation for the Board to determine directors’ remuneration.
3. Auditor reappointment • Proposal to re-appoint PricewaterhouseCoopers as external auditor and authorise the Board to fix its remuneration.
4. General share issue mandate • Directors may issue, allot and deal with additional shares up to 20% of the Company’s issued share capital during the defined “Relevant Period.” • Authority extends to granting options or similar instruments.
5. Share repurchase mandate • Directors may repurchase shares representing up to 10% of the issued share capital during the same “Relevant Period.”
6. Mandate extension • Shares repurchased under the 10% mandate may be added to the 20% issue mandate, effectively increasing the number of shares the Board can re-issue.

• Shareholders may appoint one or more proxies; proxy forms and related documents must be lodged with Tricor Investor Services Limited at 17/F, Far East Finance Centre, 16 Harcourt Road, Hong Kong, no later than 48 hours before the AGM. • Register of members will be closed from 23 June 2026 to 26 June 2026 (both days inclusive). Share transfers for voting eligibility must be lodged by 4:30 p.m. on 22 June 2026. • The AGM will proceed as scheduled regardless of amber or red rainstorm warnings; shareholders should assess weather conditions before attending.
