CHINA POWER (02380) has disclosed that on February 12, 2026, CCB Investment, the company, and Xinyuan Green Energy (a non-wholly-owned subsidiary of CHINA POWER) entered into a capital reduction agreement. Under the agreement, CCB Investment will exit its entire equity stake in Xinyuan Green Energy through a targeted capital reduction of RMB 1.666 billion (approximately HK$1.8716 billion) in registered capital, for a consideration of RMB 2.006 billion (approximately HK$2.254 billion). Following the capital reduction, Xinyuan Green Energy's registered capital will decrease from RMB 3.666 billion (approximately HK$4.119 billion) to RMB 2 billion (approximately HK$2.247 billion). As a result, CHINA POWER's equity stake in Xinyuan Green Energy will increase from 54.56% to 100%. After CCB Investment's exit, Xinyuan Green Energy will become a wholly-owned subsidiary of CHINA POWER. The company expressed optimism regarding the future development of Xinyuan Green Energy, noting that it will be entitled to all future profits generated by the subsidiary, thereby increasing its contribution to the net profit attributable to shareholders.
