SHANDONG MOLONG Calls 30 June 2026 AGM; Seeks RMB 4.00 Billion Credit Facilities and 20% H-Share Issuance Mandate

Shandong Molong Petroleum Machinery Company Limited (stock name: SHANDONG MOLONG) has issued a notice to convene its 2026 Annual General Meeting (AGM) at 2:00 p.m. on 30 June 2026 in Shouguang City, Shandong Province, China.

Key agenda items to be tabled for shareholder approval are as follows:

1. Routine Reports and Financials • Board of Directors’ report and the full-year 2025 annual report, including the profit-distribution plan for 2025. • Confirmation of uncovered losses exceeding one-third of total paid-up share capital.

2. Capital and Liquidity Management • Authorisation to secure integrated banking credit facilities of up to RMB 4.00 billion from domestic banks and financial institutions for 2026. • Permission to deploy idle internal funds for short-term cash management activities.

3. Governance and Compensation • 2026 remuneration plan for directors and senior management. • Purchase of directors’ and officers’ liability insurance. • Establishment of a remuneration management system for directors and senior management. • Re-appointment of Grant Thornton Zhitong Certified Public Accountants LLP as external auditor for the financial year ending 31 December 2026, with fees to be set by the board.

4. Share Capital Flexibility (Special Resolution) • General Mandate allowing the board to allot, issue, sell or transfer additional H-shares—up to 20% of the company’s issued share capital (excluding treasury shares)—valid until the earlier of the next AGM, 12 months from approval, or any revocation by shareholders.

Administrative Details • The H-share register will be closed from 25 June 2026 to 30 June 2026 (both days inclusive). Shareholders must lodge transfer documents by 4:30 p.m. on 24 June 2026 to qualify for attendance and voting. • Independent non-executive directors will present individual work reports during the AGM.
