METALIGHT拟回购不超过已发行股本10%股份

据METALIGHT（股票代码：02605）最新公布的股东周年大会通函显示，董事会建议授予一般授权，用于回购不超过公司已发行股份总数（不包括任何库存股份）10%的股份。参照公告于2026年5月22日的最后实际可行日期，公司已发行股本约为1.55亿股，上述授权意味着可回购规模约为1545.91万股。

公告称，本次股份购回所需资金将根据公司资金状况及在符合开曼群岛法律和香港交易及结算所有限公司证券上市规则的前提下合法获取。回购计划旨在改善股东回报与优化资本结构，董事会认为符合公司及全体股东的最佳利益。

根据公司披露，自2025年6月10日上市日至2026年5月22日，公司股票在联交所的最高成交价为每股8.31港元，最低成交价为每股1.26港元。董事会表示，股份回购将视市场情况和资金安排灵活实施。若回购完成后所持股份以库存方式形成本公司持有，还将依据上市规则及适用法律进行后续处置。

公司将于2026年6月22日（星期一）上午十一时在中国北京东城举行股东周年大会，审议包括本次股份回购授权在内的多项决议案；股东可于2026年6月16日至6月22日期间办理权益登记。董事会提醒所有股东及时关注相关日期并履行相应股东权利，以确保表决权。公司认为，本次股份购回授权有助于进一步提升价值及回馈股东。若相关议案获得股东正式通过，公司方可在授权期限内开展回购。
