Synagistics Limited (2562) Announces US$35 Million Convertible Bond Issue Under General Mandate

Synagistics Limited (2562) announced that on October 29, 2025, its wholly owned subsidiary (the Issuer), acting under a guarantee from Synagistics Limited (the Company), agreed to issue 4.5% secured guaranteed convertible bonds due 2026 in an aggregate principal amount of US$35 million. The convertible bonds carry a quarterly interest of 4.5% per annum and will mature on November 5, 2026.

According to the announcement, the initial conversion price is set at HK$11.96 per conversion share, which represents a premium of approximately 7.65% over the HK$11.11 closing price on the last trading date before the agreement. Based on a fixed exchange rate of US$0.12872 to HK$1.00, full conversion would result in the issuance of 22,734,784 new shares, representing around 4.96% of the Company’s existing issued share capital.

The Company aims to list the convertible bonds on the Vienna MTF and will seek listing approval for any conversion shares on the Hong Kong Stock Exchange. The estimated net proceeds from the issue are approximately US$33.565 million, and the entire amount is intended for investment in gold, gold-backed, or gold-related products.

The Company emphasized that completion of the agreement is subject to various conditions. Shareholders and potential investors are advised to exercise caution when dealing in Synagistics Limited (2562) securities.
