Samsonite Group S.A. (1910) Issues Notice of General Meeting for Potential Dual Listing

Samsonite Group S.A. (the “Company”) (1910) has announced that a General Meeting will take place on March 19, 2026, at 12:00 p.m. CET in Luxembourg and 7:00 p.m. Hong Kong time. The meeting aims to consider and vote on an ordinary resolution regarding an issuance mandate linked to a potential dual listing in the United States.

The proposed mandate would allow the directors to allot, issue, or deal with up to 138,306,408 additional shares under specific conditions. These include a 15% discount limit relative to the latest closing price and a maximum 20% discount relative to a defined benchmarked price. The combined number of shares issued under both this new mandate and the existing share issuance mandate cannot exceed the upper limit set by the existing mandate. The proposal, if approved, will remain valid until the annual general meeting on June 4, 2026 or terminate upon completion of the potential dual listing.

Shareholders are reminded that voting will be conducted by poll, and proxy arrangements must be submitted at least 48 hours before the meeting. The register of members will be closed from March 13, 2026 through March 19, 2026, inclusive, during which period no share transfers will be processed. Personal data provided for the purposes of the meeting will be handled in accordance with Luxembourg legal requirements and may be shared with relevant agents, service providers, or governmental bodies where necessary.
