Smart City Dev keeps share count steady at 288.00 million in July 2026; public float meets HKEX rule

Smart City Development Holdings Limited (Smart City Dev) filed its Monthly Return for Equity Issuer for the period ended 31 July 2026, confirming no movements in either authorised or issued share capital during the month and full compliance with Hong Kong Stock Exchange (HKEX) public-float requirements.

As at 31 July 2026, authorised share capital remained at 800.00 million ordinary shares with a par value of HKD0.125 each, equivalent to HKD100.00 million. Issued share capital was unchanged at 288.00 million shares, all of which are listed under ticker 08268 on the HKEX’s GEM board. The company held no treasury shares, and there were no repurchases, cancellations, or new issuances recorded for the month.

Smart City Dev affirmed that at least 25% of its issued shares— the minimum threshold for GEM-listed companies—were held by the public as at month-end, thus satisfying Listing Rule 17.37D(1).

Regarding potential dilution instruments, the 2025 Share Option Scheme reported zero outstanding or exercised options in July. The scheme still allows for up to 28.80 million new shares to be issued upon future grants and exercises, representing about 10% of current issued share capital. No warrants, convertible securities, or other share-issuing agreements were outstanding.

The filing, submitted on 4 August 2026 by Executive Director Kenneth Hung, underscores the company’s stable capital structure, with no fundraising activity or equity dilution occurring during the month.
