Luzhou Bank Sets 30 June 2026 AGM; Key Votes on 2025 Results, Sci-tech Innovation Bonds, RMB 288.46 Million NPL Write-offs

Luzhou Bank Co., Ltd. will convene its 2025 Annual General Meeting at 09:00 on 30 June 2026 in Luzhou, Sichuan. Shareholders will vote on eight ordinary and three special resolutions that collectively frame the Bank’s performance review, capital management and asset-quality actions.

Ordinary resolutions: • Approval of the 2025 annual report, board work report and the performance evaluation of directors and senior management. • Endorsement of the 2025 final financial accounts and profit distribution plan. • Ratification of the 2025 related-party transactions report. • Adoption of the 2026 financial budget. • Appointment of external auditors and confirmation of their 2026 remuneration.

Special resolutions: • Authorization for the Board to issue Sci-tech Innovation Bonds and manage all associated matters. • Approval of the 2026 fixed-asset investment plan. • Write-off of two non-performing assets: one with a principal of RMB 168.35 million and another with RMB 120.11 million, totaling RMB 288.46 million before on- and off-balance-sheet interest.

Voting thresholds: ordinary resolutions require at least 50% approval of total share capital and two-thirds of voting rights present; special resolutions require not less than two-thirds support on both metrics. Shareholders may attend in person or appoint proxies, with proxy documents to be lodged no later than 09:00 on 29 June 2026.
