Phancy Updates May 2026 Capital Movements: Share Base Steady, 4.20 Million New Options Granted

Phancy Group Co., Ltd. released its Monthly Return for the period ended 31 May 2026, confirming stable share capital and fresh activity under its 2024 share-option scheme.

Registered share capital remained unchanged at 558.48 million shares (par value RMB 1), comprising 359.61 million H-shares and 198.87 million domestic shares. No new shares were issued or cancelled during the month.

Treasury holdings were steady at 1.26 million H-shares, with an additional 186,100 H-shares repurchased in May 2024 still pending formal cancellation. No repurchase or cancellation transactions occurred in May 2026.

The company reiterated compliance with the Hong Kong Exchange’s 25 % public-float requirement for its H-shares.

Under the Share Option Scheme adopted on 19 September 2024, Phancy granted 4.20 million new options in May, lifting outstanding options to 23.25 million. None of these options had vested or been exercised by month-end, and no funds were raised from option exercises.

There were no outstanding warrants, convertibles or other share-issuance agreements. The submission was signed by Company Secretary Yeung Siu Wai Kitty on 4 June 2026.
