KWG Group Holdings Limited has announced a further extension of the Base Consent Fee Deadline tied to its offshore debt restructuring. The company now allows Scheme Creditors to accede to its Restructuring Support Agreement (RSA) until 5:00 p.m. Hong Kong time on 28 September 2026, moving the cutoff from the previous 7 September 2026 date.
Key developments:
• Creditor participation: Holders representing approximately 75.47% of the aggregate outstanding principal of the “In-Scope Debt” have already executed, or are in the process of executing, the RSA. • Consent fee structure: – Early Consent Fee (deadline expired 17 August 2026): Participating creditors receive ALC Senior Notes – Tranche 1 equal to 0.20% of their Eligible Restricted Debt principal. – Base Consent Fee (current deadline 28 September 2026): Creditors acceding after 17 August but on or before the new deadline will receive ALC Senior Notes – Tranche 1 equal to 0.10% of their Eligible Restricted Debt principal. – A creditor may claim only one of the two fees. • Ongoing invitation: Creditors yet to join the RSA are urged to submit executed Accession Letters via the dedicated Accession Portal (https://deals.is.kroll.com/kwg-accession) before the revised deadline. • Advisory support: Alvarez & Marsal Corporate Finance (Company adviser), PJT Partners (adviser to the ad-hoc group of creditors), and Kroll Issuer Services (Information Agent) remain available to address creditor inquiries.
The company reiterates that shareholders and potential investors should exercise caution when dealing in KWG Group’s securities. Further announcements will be issued upon any material developments in the restructuring process.
